These Terms of Use ("Terms") are a legally-binding contract between you ("you," "user") and Tastly Restaurant AI LLC ("Tastly," "we," "us," "our"). They govern your access to and use of:

• the Tastly website at tastlyrestaurantai.com,
• the Tastly AI-powered restaurant operations platform and mobile / desktop apps, and
• any related content, products, or services we make available (collectively, the "Service").

By accessing or using the Service, you agree to these Terms and to our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, you must not use the Service.

1 Business Information & Governing Law

2 Description of the Service

The Service provides an AI-powered restaurant operations platform designed to streamline and enhance how restaurants manage their daily operations. Features may include:

• Training management – creating, assigning, and tracking team training materials in English and Spanish
• Recipe builder and storage – centralized recipe management with AI-assisted content creation
• SOP hub – standard operating procedures creation, distribution, and acknowledgment tracking
• Checklists – digital checklists for opening, closing, food safety, and custom operational needs
• Menu rollout coordination – tools for planning and executing menu changes across locations
• Smart forms and guided escalation workflows
• AI assistant for restaurant operations questions and content generation

Operational tool, not professional advice. Tastly provides tools and AI-generated suggestions to support restaurant operations. Content generated by AI (including recipes, SOPs, and training materials) should be reviewed and validated by qualified personnel before implementation. Tastly does not provide food safety consulting, legal advice, or health inspection services.

3 User Accounts

3.1 Eligibility & Registration

• You must be at least 18 years old or have authorization from a legal guardian to create an account. Team members under 18 may be added by their employer in compliance with applicable labor laws.
• Provide accurate information (real first/last name, valid email, and restaurant or business name).
• Offensive, deceptive, or infringing usernames are prohibited.

3.2 User Conduct

• Act professionally; no harassment, hate speech, spam, or abusive behavior.
• Do not share or resell proprietary platform materials, AI-generated outputs at scale, or other users' content without written permission.
• Do not interfere with security, attempt to scrape data, or reverse-engineer the Service.
• Do not upload content that infringes third-party intellectual property rights.

4 Payment Terms

Refunds: None unless we state otherwise in a specific promotion or are required by law. Violation of these Terms voids any refund.

Data retention after non-payment: We keep your user data for 2 months; then it may be permanently deleted.

5 Intellectual Property

Platform ownership. All platform content, design, software, AI models, and proprietary features are owned by Tastly or its licensors.

Your content. You retain ownership of the recipes, SOPs, training materials, and other original content you upload to or create on the platform ("Your Content"). By using the Service, you grant Tastly a limited, non-exclusive license to host, display, and process Your Content solely for the purpose of providing the Service to you.

AI-generated content. Content generated by Tastly's AI features (such as recipe suggestions, SOP drafts, or training materials) is provided for your use within the platform. You may use AI-generated content in your restaurant operations, but Tastly makes no representations regarding the originality or intellectual property status of AI-generated outputs.

No republication of platform materials. You may not reproduce, publicly display, or distribute any portion of Tastly's proprietary platform materials without prior written consent.

6 Restaurant Data and Confidentiality

We understand that your restaurant data -- including recipes, operational procedures, and business processes -- may contain proprietary and confidential information. We commit to:

• Not sharing your restaurant-specific data with competitors or unauthorized third parties.
• Not using your proprietary recipes or SOPs to train general-purpose AI models without your explicit written consent.
• Maintaining appropriate technical and organizational safeguards to protect your data.

7 Disclaimer of Warranties

Operational tool; no guarantees. The Service is provided "as is," without warranties of any kind. Tastly does not guarantee that AI-generated content is accurate, complete, or suitable for any particular purpose.

Food safety disclaimer. AI-generated recipes, SOPs, and operational content should always be reviewed by qualified kitchen staff and food safety professionals before implementation. Tastly is not responsible for food safety outcomes resulting from reliance on AI-generated content.

No professional advice. Content on the platform does not constitute legal, health, safety, or regulatory compliance advice. Consult qualified professionals for such matters.

Availability. We strive for high uptime but do not guarantee uninterrupted or error-free operation. We may suspend the Service for maintenance or emergencies without liability.

8 DMCA / Copyright-Infringement Policy

If you believe content on the Service infringes your copyright, send a takedown notice to hello@tastlyrestaurantai.com with:

• Your contact details
• Identification of the work allegedly infringed
• The URL or location of the infringing material
• A good-faith statement and a signature (electronic is acceptable)

We will respond in accordance with the U.S. Digital Millennium Copyright Act.

9 External-Link Disclaimer

The Service may contain links to third-party websites or integrations. These are provided "as-is" for convenience. Tastly neither controls nor endorses external content and is not responsible for any damages or losses arising from your use of third-party sites or services.

10 Accessibility Statement

Tastly strives to meet WCAG 2.1 Level AA guidelines and to provide an accessible experience in both English and Spanish. If you encounter accessibility barriers, please email hello@tastlyrestaurantai.com and we will work to resolve the issue promptly.

11 Multi-Language Support

The Service is available in English and Spanish. In the event of any discrepancy between the English and Spanish versions of these Terms, the English version shall prevail.

12 Dispute Resolution -- Arbitration

Mandatory arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration before a single arbitrator in Miami, Florida, administered by the American Arbitration Association (AAA) under its Commercial Rules.

Class-action waiver. Disputes must be brought individually; class or representative actions are forbidden.

No jury trial. You waive the right to jury trial.

30-day opt-out. If you do not wish to be bound by this clause, notify us in writing within 30 days of first accepting these Terms.

13 Limitation of Liability

To the fullest extent permitted by law, Tastly and its affiliates will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or loss of profits, data, goodwill, or other intangible losses. In any event, our aggregate liability will not exceed the amount you paid Tastly in the 12 months preceding the claim.

14 Force Majeure

We are not liable for failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labour disputes, epidemics, or internet/telecom outages.

15 Suspension & Termination

We may suspend or terminate your account, without refund, for violation of these Terms or any conduct that we deem harmful or unlawful. Following termination, data may be deleted and you release Tastly from liability for any resulting loss.

16 Changes to These Terms

We may modify these Terms at any time. Material changes will be emailed to the address in your profile. Continued use after the effective date constitutes acceptance of the revised Terms. Keep your email address current.

18 General Provisions

Severability. If any provision is unenforceable, it will be limited or eliminated to the minimum extent, and the remaining provisions remain in full force.

Entire agreement. These Terms, plus our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any additional guidelines, constitute the entire agreement between you and Tastly.

No waiver. Failure to enforce a right or provision does not waive it.

Assignment. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or asset sale.

By using the Service, you confirm that you have read, understood, and agreed to these Terms of Use. If you do not agree, discontinue use of the Service immediately.
